This End User License Agreement (“EULA”) is a legally binding agreement between you (“User”, “Customer”, or “Licensee”) and UNITYXPERT LTD (“SalesGenie”, “we”, “our”, or “us”), a private limited company registered in England and Wales under company number 16072762, with its registered office at:

United Kingdom
By accessing, installing, subscribing to, or using SalesGenie, you agree to be bound by this EULA.
Subject to compliance with this Agreement, SalesGenie grants you a limited, non-exclusive, non-transferable, revocable license to access and use the SalesGenie platform solely for your own internal business purposes.
This license does not transfer ownership of SalesGenie or any intellectual property rights. All rights not expressly granted are reserved by UNITYXPERT LTD.
SalesGenie, including but not limited to:
• software
• source code
• APIs
• prompts
• workflows
• chat flows
• onboarding flows
• sales methodologies
• databases
• dashboards
• CRM systems
• designs
• UI and UX elements
• graphics
• branding
• documentation
• architecture
• algorithms
• AI configurations
• infrastructure
• know-how
• proprietary processes
are owned exclusively by UNITYXPERT LTD and are protected by intellectual property laws.
Nothing in this Agreement transfers ownership to the User.
You may:
• use SalesGenie for your own Discord communities
• allow authorized team members or staff to access your account, subject to plan limitations
• access analytics and dashboard features
• configure SalesGenie for your own business operations
Account sharing for the purpose of operating another business or community is prohibited.
You may not:
• reverse engineer the Service
• decompile the Service
• disassemble the Service
• reproduce the software
• copy prompts
• copy workflows
• copy chat flows
• copy onboarding systems
• copy dashboard designs
• copy infrastructure or system architecture
• create derivative works
• modify the software without authorization
• scrape data or outputs
• circumvent usage limits
• bypass restrictions
• benchmark the Service for public comparison purposes
• attempt unauthorized access
• interfere with platform security
• exploit bugs or vulnerabilities
• use automated extraction tools
• impersonate SalesGenie
• remove notices or branding
• use the Service for unlawful purposes
Users may not use SalesGenie or information obtained through SalesGenie to:
• build competing software
• create competing services
• replicate features or functionality
• copy system architecture
• duplicate workflows
• reproduce conversation frameworks
• develop substantially similar products
• create derivative commercial offerings
The use of SalesGenie for competitive analysis intended to create competing products is strictly prohibited.
Users may not:
• use SalesGenie outputs to train AI models
• build datasets derived from SalesGenie conversations
• scrape prompts or responses
• use outputs to train LLMs or machine learning systems
• create derivative AI products using SalesGenie intellectual property
All prompts, structures, workflows, and generated systems remain proprietary.
SalesGenie may not be:
• white-labeled
• sublicensed
• resold
• redistributed
• leased
• marketed under another brand
• embedded into another SaaS product
without prior written authorization from UNITYXPERT LTD.
Separate agreements may be negotiated for approved white-label arrangements.
Customers may provide access to authorized staff members or team members within the limits of their subscription plan.
Accounts may not be:
• transferred to third parties
• sold
• shared between unrelated communities
• used on behalf of another business without permission
The customer remains responsible for all activity conducted through their account.
Where use of SalesGenie requires configuration by the Customer, including selection of a Discord channel for thread or ticket creation, the Customer is solely responsible for that configuration.
UNITYXPERT LTD provides setup guidance during onboarding. The Customer is responsible for reviewing that guidance and confirming their configuration choices before the Service becomes active in their community.
Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with this Agreement, including community strategy, setup details, and pricing terms shared with UNITYXPERT LTD by Enterprise or custom-service customers.
This obligation does not apply to information that is publicly available, independently devel-oped by the receiving party, or required to be disclosed by law.
Users shall not:
• probe systems for vulnerabilities
• perform penetration testing without written approval
• interfere with infrastructure
• upload malicious code
• distribute malware
• attempt to access another customer’s information
Violations may result in immediate suspension or termination.
Any suggestions, ideas, feature requests, or feedback voluntarily provided to SalesGenie may be used by UNITYXPERT LTD without restriction or compensation.
SalesGenie relies on third-party providers including:
• Discord
• OpenAI
• hosting providers
• cloud infrastructure providers
• payment processors
UNITYXPERT LTD is not responsible for interruptions or limitations caused by third-party providers.
UNITYXPERT LTD may suspend or terminate access if:
• this Agreement is violated
• abuse is detected
• fraudulent activity is suspected
• security risks arise
• unlawful use occurs
• chargeback abuse occurs
Termination of access does not transfer any ownership rights to the User.
Users may not assign, transfer, sell, or delegate rights under this Agreement without prior written consent from UNITYXPERT LTD.
Failure by UNITYXPERT LTD to enforce any provision shall not constitute a waiver of any rights.
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement shall be governed by the laws of England and Wales.
Any disputes arising under this Agreement shall be subject to the courts of England and Wales, unless otherwise required by applicable law.
